THE ZOOM SOLOPRENEUR 50 PROGRAM TERMS AND CONDITIONS

  1. Sponsor:

    The 2026 Zoom Solopreneur 50 Program (the “Program”) is sponsored by Zoom Communications, Inc. (“Zoom”) 55 Almaden Blvd., 6th Floor, San Jose, CA 95113.

  2. Eligibility:

    The Program is open only to legal residents of the fifty (50) United States or the District of Columbia. To participate as a Nominator or Nominee, you must be eighteen (18) years of age or older at the time of entry. Nominees must qualify as solopreneurs, meaning they own and primarily operate a business independently and are the sole full-time operator of that business. Use of contractors, freelancers, or part-time assistance does not disqualify a nominee, provided the nominee remains the primary and sole full-time operator responsible for the business. This Program is a business recognition program open only to established business owners entering in their professional capacity.

    This Program is not open to: (1) employees or internally contracted vendors of Sponsor or its parent/subsidiaries, agents or affiliates; (2) the immediate family members or members of the same household of any such employee or vendor; or (3) anyone professionally involved in the development or administration of this Program. Void wherever prohibited or restricted by law.

    By participating in the Program, Nominators and Nominees agree to be bound by these Terms and Conditions and the decisions of Sponsor and the judging panel (also referred to as “Administrator”), which shall be final and binding in all respects. All federal, state, and local laws apply.

  3. Program Period & Overview:

    Program entry period begins at 12:00:01 a.m. Eastern Time (“ET”) on January 8, 2026 and ends at 11:59:59 p.m. ET February 13, 2026. To participate in the Program, a person (the Nominator) completes the nomination form with their selection of one (1) eligible person who the Nominator believes is a qualifying solopreneur who owns and independently operates their business consistent with the Program’s purpose and mission (“Nominee”)

  4. How to Enter:

    NO PURCHASE REQUIRED TO ENTER OR WIN.

    To enter the Solopreneur 50 program, submit a nomination through the entry form available at www.zoom.com/solo50. You may nominate yourself or another solopreneur.

    By submitting an entry, you represent and warrant that the information provided is true and accurate to the best of your knowledge. If submitting on behalf of another solopreneur, you represent and warrant that you have obtained the nominee’s consent to share their information and participate in the program.

    Entries will be reviewed for the purpose of evaluating nominees in connection with the Solopreneur 50 program. If a nominee advances to later stages, additional information or materials may be requested and will be subject to additional terms.

    Personal information submitted in connection with an Entry, including names, mailing addresses, phone numbers, and email addresses, may be collected, processed, and used by Sponsor or Administrator to administer the program and to send program-related updates, content, and invitations, in accordance with applicable law and Zoom’s Privacy Statement for the Program at https://www.zoom.com/en/audiences/solopreneurs/privacy-statement/.

    Each Entry must be appropriate for a professional audience and consistent with the purpose and values of the Solopreneur 50 program. Submissions must not contain unlawful, offensive, defamatory, or discriminatory content, infringe third-party rights, promote violence or illegal activity, or otherwise be inappropriate or inconsistent with the spirit of the program. Sponsor reserves the right to disqualify any entry that it determines, in its reasonable discretion, does not comply with these requirements.

  5. Additional Restrictions on Nomination:

    Each individual may submit only one (1) nomination during the Program Period. If multiple nominations are submitted by the same individual, only the first complete submission will be considered. If a nominee submits their own entry, that submission will take precedence over any third-party nomination.

    Automated, scripted, or bulk submissions are strictly prohibited. Nominations submitted in violation of this rule may be disqualified.

    Sponsor reserves the right to disqualify any nomination or participant that it determines has engaged in conduct that undermines the integrity, fairness, or proper operation of the Program, including repeated or egregious attempts to submit multiple entries.

    Submission of a nomination, including any acknowledgement by Sponsor, does not guarantee eligibility, receipt confirmation, or selection in the program. Sponsor’s database clock is the official timekeeper for the Program.

  6. Prize:

    Fifty (50) Honorees will be named and prizes will be awarded as described below. Five (5) Finalists will be selected from the Fifty (50) Honorees. Prizes are non-transferable and cannot be substituted for like value, except at the sole discretion of Zoom. Zoom reserves the right to substitute a prize of equal or greater value in the event a prize is not available at the time of award.

    Winners will receive recognition packages, including awards, networking opportunities, event invitations, and other benefits. Exact prizes to be awarded at Sponsor’s discretion. The total approximate retail value (“ARV”) of all prizes to be awarded in the Program is $150,000.00.

  7. Tax Obligations:

    All Honorees and Finalists are solely responsible for any federal, state, and local taxes, fees, or other costs associated with the receipt or use of any prize. For prizes valued at $600 or more, Sponsor will report the Fair Market Value of the prize to the Internal Revenue Service and to the winner as required by law.

    Sponsor may require Honorees and Finalists to complete and return all required tax documentation, including IRS Form W-9 and a valid Social Security number or taxpayer identification number, as a condition of receiving a prize, in order to comply with applicable tax reporting obligations. Winners must provide all required documentation within thirty (30) days of notification.

    Sponsor reserves the right to withhold and remit taxes from the value of any prize as required by law. Failure to provide required documentation or to comply with applicable tax laws may result in forfeiture of the prize, in which case Sponsor may, in its sole discretion, award the prize to an alternate recipient.

    All costs and expenses not expressly stated as part of the prize are the responsibility of the Honoree or Finalist. The Fair Market Value of prizes for tax purposes will be determined by Sponsor based on actual cost or market value of prize components.

  8. Selection and Judging:

    Nominees will be judged based on the following criteria:

    • Originality: How unique or differentiated is their idea, product, or approach?
    • Performance: Evidence of growth, traction, or business sustainability.
    • Impact: Demonstrated contribution to customers, communities, or industries.
    • Authenticity: Alignment between the business and founder’s personal ethos.
    • Influence: Reach and resonance — from thought leadership to community-building.

    All nominations are subject to a preliminary review by Sponsor to confirm eligibility and select nominations for further evaluation. Selected nominations will advance to the judging panel.

    Potential Honorees and Finalists will be notified by Sponsor via email using the contact information provided in the nomination and may be asked to verify eligibility and provide additional information, including financial or business information. Failure to respond, provide requested information, or otherwise comply with these Terms and Conditions may result in disqualification at Sponsor’s sole discretion. Sponsor is not responsible for any failure of notification due to incorrect, incomplete, or inactive contact information or other technical issues.

    Decisions of the Administrator (which includes Sponsor and the judging panel) are final and binding in all respects and are not subject to appeal. Entrants acknowledge and agree that the preliminary review and judging process are confidential and proprietary to Sponsor, and expressly waive any right to review or inspect such materials.

  9. General Conditions:

    In the event that the operation, security, administration, logistics, feasibility, or fairness of the Program is impaired for any reason, including, but not limited to, technical errors, fraud, tampering, or circumstances beyond Sponsor’s control, Zoom may, in its sole discretion, (a) modify the Program; (b) suspend and later resume the Program; (c) award the prizes from among eligible, non-suspect Entries received prior to the impairment, or (d) cancel the Program if no other option is reasonably practicable.

    Zoom may, in its sole discretion, disqualify any Nominee or Nominator for conduct, behavior, or content that is inconsistent with the values of the Program, may harm or reflect unfavorably on the Administrator, the Program, or its affiliates, or is otherwise inappropriate or objectionable. Disqualification also may result from failure to respond to notifications, provide requested information, or otherwise comply with these Terms and Conditions.

    Honorees and Finalists will be notified via the contact information provided in the nomination. Sponsor is not responsible for failed notifications due to incorrect, incomplete, or inactive contact information or technical issues. Receipt of an Entry does not constitute proof of eligibility or selection. All Entries become the sole property of Sponsor. The authorized account holder of the email address used to submit an Entry will be deemed the participant.

    Sponsor reserves the right to modify these Terms and Conditions, without materially affecting the terms and conditions of the Program. Any material modifications will be posted at www.sponsor.com/solo50. If any provision of these Terms and Conditions is held to be invalid or unenforceable, all remaining provisions shall continue in full force and effect.

  10. License:

    By submitting an Entry, you grant to Zoom and its affiliates, successors and assigns a non-exclusive, perpetual, irrevocable, worldwide, fully-paid right and license to all of your intellectual property rights in the Entry (including any videos) for purposes of administering, promoting, or otherwise supporting the Program, including on Sponsor’s websites and social media without the need for further approval or compensation. You represent and warrant that the Entry does not include any minor without consent and does not infringe the rights of any third party.

  11. Publicity:

    Except where prohibited by law, participation in the Program constitutes permission for Sponsor and its designees to use Your name, likeness, photograph, voice, business name, biographical information, and statements regarding the Program for advertising, promotional, and publicity purposes worldwide, in perpetuity, without additional compensation or notification.

  12. DISCLAIMER; RELEASE:

    NEITHER ZOOM, NOR ITS AFFILIATES, NOR ANY OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, INSURERS, PREDECESSORS, SUCCESSORS OR REPRESENTATIVES (COLLECTIVELY, “ZOOM ENTITIES”) MAKE OR GIVE ANY REPRESENTATIONS, CONDITIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, OR ANY PRIZE OR PARTICIPANT’S PARTICIPATION IN THE PROGRAM. THE ZOOM ENTITIES SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, COST, OR INJURY THAT ARISES FROM THE PROGRAM OR ANY CAUSE, OCCURRENCE OR CONDITION THAT MIGHT CAUSE THE PROGRAM TO BE DISRUPTED, SUSPENDED OR CORRUPTED, INCLUDING: (I) LATE, LOST, DELAYED, DAMAGED, MISDIRECTED, INCOMPLETE, OR UNINTELLIGIBLE ENTRIES; (II) TELEPHONE, ELECTRONIC, HARDWARE OR SOFTWARE PROGRAM, NETWORK, INTERNET, OR COMPUTER MALFUNCTIONS, FAILURES, VIRUSES OR DIFFICULTIES OF ANY KIND; (III) FAILED, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSIONS; AND (IV) THE DOWNLOADING OF ANY MATERIAL IN CONNECTION WITH THIS PROGRAM.

    BY PARTICIPATING IN THIS PROGRAM, YOU HEREBY RELEASE AND DISCHARGE THE ZOOM ENTITIES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES AND CAUSES OF ACTION OF EVERY KIND AND NATURE, IN LAW, EQUITY OR OTHERWISE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, AND IN PARTICULAR ANY FROM ALL CLAIMS, DEMANDS, DAMAGES AND CAUSES OF ACTION OF EVERY KIND AND NATURE FOR DAMAGES ACTUAL AND CONSEQUENTIAL, PAST, PRESENT, AND FUTURE, ARISING OUT OF, OR IN ANY WAY RELATING THE PROGRAM, THE ADMINISTRATION OF THE PROGRAM, THE USE OF THE ENTRY, ANY PRIZE AWARDED, THE USE OR MISUSE OF ANY PRIZE, AND ANY PUBLICITY, ADVERTISING OR PROGRAM RELATING TO THE PROGRAM AND/OR THE PRIZE, AND/OR ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE, AND YOU AGREE TO INDEMNIFY ZOOM ENTITIES FOR ANY THIRD PARTY CLAIMS RELATED TO THE SAME. IT IS UNDERSTOOD AND AGREED THAT THIS IS A FULL, COMPLETE, AND FINAL GENERAL RELEASE OF ANY AND ALL CLAIMS DESCRIBED AS AFORESAID, AND YOU AGREE THAT IT SHALL APPLY TO ALL UNKNOWN, UNANTICIPATED, UNSUSPECTED, AND UNDISCLOSED CLAIMS, DEMANDS, LIABILITIES, ACTIONS OR CAUSES OF ACTION, IN LAW, EQUITY OR OTHERWISE. YOU HAVE READ AND FULLY UNDERSTAND THE CONTENTS OF SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, AND THAT SECTION AND THE BENEFITS THEREOF ARE EXPRESSLY WAIVED. SECTION 1542 READS AS FOLLOWS:

    “SECTION 1542. (GENERAL RELEASE - CLAIMS EXTINGUISHED.) A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

  13. Force Majeure:

    If the Program is not capable of running as originally planned for any reason beyond the control of Sponsor (e.g., natural disaster, pandemic/epidemic, unauthorized intervention, fraud, civil commotion, governmental action), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Program and conduct the Program and select the winners in a manner which is fair, equitable and in accordance with these Terms and Conditions, if feasible, as determined by Sponsor in its sole discretion. Notice of such action by Sponsor will be posted on the Website.

  14. Disputes:

    By participating in the Program, you agree that any dispute, claim, or controversy arising out of or relating to the Program, these Terms, or any prize awarded (“Dispute”) will be resolved individually, first by informal resolution, and if not resolved, by binding arbitration under the Federal Arbitration Act. Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the applicable arbitration provider.

    Exceptions: Claims that may be brought in small claims court or involving intellectual property rights are excluded from arbitration.

    Informal Resolution: Before initiating arbitration, you agree to submit a written notice describing your dispute to Zoom so the parties can attempt to resolve it informally. If unresolved within 60 days, arbitration may proceed.

    Waivers: By agreeing to arbitration, you and Zoom waive any right to a jury trial and to participate in class, collective, or representative actions. Each party may only pursue claims on an individual basis.

    Governing Law: This Agreement and any Disputes are governed by the laws of the State of California, without regard to conflict of law rules.

  15. Program Results:

    A list of Honorees and Finalists will be made available at www.zoom.com/solo50 following the awards. Names of Honorees and Finalists can also be obtained by emailing solo@zoom.com.
